As part of this deal, Motorsport Games will issue 1,894,892 shares of their Class A common stock. They will also issue a special type of warrant that allows the investors to buy up to 377,836 more shares of Class A common stock at a very low price of $0.0001 per share.

The majority of the investment, totalling $2.4 million, was completed on April 11, 2025. The remaining $100,000 from one investor is expected to be finalized on April 15, 2025. The special warrant can be used to buy shares once the company’s stockholders approve the issuance of those shares.
